I have decided to work for the projected idea with an understanding that if project is not implemented, my all the time, efforts or anything else given for evolving idea will be a total wastage.
I understand at any movement, if Mr. Sunil Shah informs me to stop the work in evolving idea I will have to stop work and I cannot disclose any information given to me or I acquired in a process to anyone else or do activity which can harm or create the competition to the projected idea or future business. In such case I cannot communicate with the contacts that are associated with projected idea. In such case, whatever time given by me will be total waste for me and I cannot expect or demand any money or anything directly or indirectly from Sunil Shah.
For your working for projected idea to convert into actual business we have decided hourly rate. You will email daily the number of hours worked every day.
Terms for Payment of Hourly Rate:
1. Payable in future only if we actually do business, generate profit and company has enough cash-flow to pay your amount.
2. You don’t get any payment if our projected idea doesn’t get transformed into actual business
3. If we inform you stop any day, the number of hours you have worked till that day will be payable as per point no. 1 & 2 only.
4. If you stop working or do not attend meeting for 2 consecutive times after emailing or do not work for number of hours as agreed for 3 consecutive days at our office or anywhere withot informing and getting confirmation of the same on your email and if Sunil Shah decides that you have to stop work you will not be paid any amount for previously hours worked anytime in future.
5. If you stop working for any reason before the idea is actually finalized and company is formed you will not be paid any amount for previously hours worked anytime in future.
6. I understand all the output created directly or indirectly in the process is property and intellectual of Sunil Shah and I have no right on the same directly or indirectly.
7. I agree to sign the non-disclosure agreement and other agreements required by the company from time to time.
